  1. You may access and browse the Platform generally without registering with the Platform. In order to register with the Platform as an investor or an issuer, you will be required to provide certain information about yourself and/or your business (including, but not necessarily limited to, information about your identity, finances, and business performance) as part of the registration process. 2. CineBlock Films or its representatives will never ask you for your password. Accordingly, you are responsible for all activities that occur under your account. Although the Platform may present data, information or content provided by third-parties or CineBlock Films relating to investment strategies and/or opportunities to buy and/or sell securities, you should not interpret any such content as tax, legal, financial, or investment advice or a recommendation by us to invest in any offering posted on the Platform. Any decision to invest shall be based solely on your own consideration and analysis of the risks involving a particular offering and is made at your own risk. You acknowledge and agree that you are solely responsible for determining the suitability of an investment or strategy and accept the risks associated with such decisions, which include the risk of losing the entire amount of your principal. We have no special relationship with or fiduciary duty to you and your use of the Platform and the Tools does not create such a relationship. You agree and acknowledge that you are responsible for conducting your own legal, accounting and other due diligence review of the investment opportunities posed on the Platform. You are strongly advised to consult a licensed legal professional and investment advisor for any legal, tax, insurance, or investment advice as the Platform does not provide any of the foregoing advice or recommendations.

Securities

  1. The securities offered on the Platform are only suitable for prospective investors who are familiar with and willing to accept the high risks associated with private investments, including the risk of complete loss of your investment. Securities sold through CineBlock Films are not publicly traded and, therefore, are illiquid. Securities will be subject to restrictions on resale or transfer including holding period requirement of one year.
  2. The securities being offered have not been registered under the Securities Act, in reliance on the exemption provisions under Section 4(a)(6). Users must read each Issuer’s offering memorandum and disclosures for more information and discuss any questions with each Issuer directly prior to investing. No governmental agency has reviewed the offerings posted on this Platform and no state or federal agency has passed upon either the adequacy of the disclosure contained herein or fairness of the terms of any offering. The exceptions relied upon for such offerings are significantly dependent upon the accuracy of the representations of the Issuers in connection with an offering on the Platform. In the event that any such representations prove to be untrue, the registration exemptions relied upon by an Issuer in selling the securities might not be available and substantial liability to such issuer would result under applicable securities laws for rescission or damages.

Governing Law

  1. This User Agreement shall be construed and governed in accordance with the laws of the State of Delaware excluding conflicts of law provisions.

Dispute Resolution

  1. Most concerns can be resolved quickly by contacting us. However, in the unlikely event we are unable to resolve a complaint you may have to your satisfaction or if CineBlock Films has not been able to resolve a dispute it has with you after attempting to do so informally, then we each agree to resolve those disputes through binding arbitration.
  2. Any claims arising out of or relating to this agreement, including its formation, enforceability, performance, or breach (each, a “Claim”) where the total amount in controversy is less than US$10,000, shall be resolved via binding arbitration initiated through the American Arbitration Association (“AAA”). The arbitration will be governed by the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (collectively, “AAA Rules”) of the American Arbitration Association (“AAA”), as modified by this Agreement, and will be administered by the AAA. The AAA Rules are available online at https://adr.org or by calling the AAA at 1-800-778-7879. AAA and the parties must comply with the following rules: (a) if either party requests an in-person hearing the process shall be governed by subsection (c) below, otherwise, the arbitration shall be conducted by telephone, online and/or be solely based on written submissions, the specific manner shall be chosen by the party initiating the arbitration; (b) the arbitration shall be conducted by an arbitrator in Kent County, Delaware who is approved or otherwise affiliated with the AAA; (c) if either party requests an in-person hearing, (i) the arbitrator shall decide whether a hearing is necessary or whether the arbitration shall proceed as described in subsection (a) above, (ii) if the arbitrator deems that a hearing is necessary, the hearing shall occur at a mutually agreed upon location, or, if the parties are unable to agree on a location, at a location that is reasonably convenient to you and is selected by the arbitrator, and (iii) either party may elect to participate in an in-person hearing by phone, unless the arbitrator decides otherwise; (d) the arbitrator may award injunctive or declaratory relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party’s individual claim; (e) unless otherwise mutually agreed by the parties in writing, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding; and (f) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. If subparagraph (e) above is found to be unenforceable, then the entirety of this Mandatory Arbitration provision shall be null and void. Only a court and not the arbitrator can decide issues relating to the scope and enforceability of this “Dispute Resolution” section. YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND CINEBLOCK FILMS ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION WITH RESPECT TO THE CLAIMS COVERED BY THIS MANDATORY ARBITRATION PROVISION. Notwithstanding the foregoing, either party may bring an individual action in small claims court in Kent County, Delaware.
  3. Any Claims you bring against us must be resolved in accordance with this “Dispute Resolution” section. All Claims filed or brought contrary to this “Dispute Resolution” section shall be considered improperly filed and void. Should you file a Claim contrary to this “Dispute Resolution” section, we may recover attorneys’ fees and costs up to $1,000, provided that we have notified you in writing of the improperly filed Claim, and you have failed to promptly withdraw the Claim.

Assignability

  1. You may not assign your rights and responsibilities under this User Agreement. CineBlock Films may assign its rights at any time to (a) a subsidiary or affiliate or (b) an entity that acquires all or substantially all of the business or assets of CineBlock Films, whether by merger, reorganization, acquisition, sale, or otherwise. Risk of digital securities

CineBlock Films issues investment commitment tokens in digital wallets of investors through the Ethereum blockchain. At the end of a successful offering, the issuer replaces or converts investment commitment tokens into digital securities.

Investors are responsible for maintaining security and confidentiality of their digital wallet password, secret phrase and private key (“Credentials”). Investors must protect their Credentials from cybertheft. Investors must not share their Credentials with any other person. Neither CineBlock Films nor any other party has access to an investor’s Credentials. In the event of loss of Credentials, the investor will lose all assets in their digital wallet. Excluding the replacement of investment commitment tokens during the subscription period upon payment of a replacement fee of $50 , CineBlock Films will not be liable for any loss, damage or injury or for any direct, indirect, special, incidental, exemplary, or consequential damages arising from or related to the loss of an investor’s Credentials or errors in the use of their digital wallet. Post-subscription, investors must contact the issuer or issuer’s transfer agent for replacement of lost digital securities. Issuer or their transfer agent may charge a fee for replacement of digital securities.

The Ethereum blockchain keeps all transaction history public using the public key of digital wallets. Investors may want to control access to the public key of their digital wallet except when they have to share the public key with a counterparty to execute a transaction. We advise investors to review Managing Privacy and Security on Public Blockchains before making an investment.

If the Ethereum blockchain is split or forked into two or more branches, CineBlock Films will, in its sole discretion, decide which branch of Ethereum it will use. Any investment commitment tokens issued by CineBlock Films will be valid only on the branch of Ethereum which CineBlock Films decides to use. Excluding the replacement of investment commitment tokens, CineBlock Films will not be liable for any loss, damage or injury or for any direct, indirect, special, incidental, exemplary, or consequential damages arising from or related to a split of the Ethereum blockchain. Post-subscription, investors must contact the issuer or issuer’s transfer agent to find out the branch of Ethereum which will be valid for the digital securities in the event of a split of the Ethereum blockchain.
